Welcome to BNI Pure (“Company”, “we”, “our”, “us”). These Terms and Conditions (“Terms”) govern your use of our website located at bnipure.com (the “Site”) and any manufacturing, R&D, or laboratory services provided by us.

By accessing this Site or engaging BNI Pure for services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Site or utilize our services.


2. Intellectual Property Rights

2.1 Website Content

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

2.2 Client Formulas

BNI Pure respects the proprietary nature of custom formulations. Ownership of custom formulas developed specifically for a client will be outlined in the specific Manufacturing Agreement or Master Service Agreement (MSA) signed prior to production.


3. Manufacturing & Lab Services

BNI Pure provides contract manufacturing, laboratory testing, and R&D services. The following terms apply to all service engagements unless superseded by a separate written agreement:

3.1 Quotes and Estimates

All quotes provided by BNI Pure are valid for a period of thirty (30) days unless otherwise stated. We reserve the right to adjust pricing based on raw material market fluctuations prior to the final confirmation of an order.

3.2 Quality Assurance & Testing

3.2.1 Certificate of Analysis (COA)

A Certificate of Analysis (COA) will be issued for all finished batches upon passing our internal quality control standards. BNI Pure guarantees that products meet the specifications outlined in the Master Batch Record at the time of delivery.

3.2.2 Third-Party Testing

While BNI Pure maintains a comprehensive in-house laboratory, clients reserve the right to validate results through accredited third-party laboratories at their own expense.


4. Confidentiality

We understand the sensitive nature of the nutraceutical industry. BNI Pure agrees to keep confidential all proprietary information, trade secrets, and formulations disclosed by the Client (“Confidential Information”).

We will not disclose Confidential Information to any third party without the Client’s prior written consent, except as required by law or regulatory agencies (e.g., FDA compliance).


5. Limitation of Liability

In no event will BNI Pure, our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site or our services, even if we have been advised of the possibility of such damages.


6. Governing Law

These Terms shall be governed by and defined following the laws of the State of [Your State], United States. BNI Pure and yourself irrevocably consent that the courts of [Your State] shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
